Roles and Responsibilities - Board of Directors

The Rare Earth Photographic Arts Outreach Foundation is managed by a volunteer Board of Directors. The Board's function is to ensure that the Foundation's mandates are being met, legal obligations are upheld, funds held in trust are being managed responsibly, and initiatives required to advance the objectives of the organisation are carried out. As an EDI-based Board, the Foundation is dedicated to having Members from diverse genders, ages, ethnicities, cultures, faiths, abilities, and backgrounds. The Board of Directors carry out their Board-specific duties without compensation.

Chair (occupied)

The Chair is a Class A (voting) Member of Rare Earth Photographic Arts Outreach Foundation. As the primary community liaison, the individual holding this position both embodies and models a deep understanding of the core values behind the Foundation's Mandate, Mission, and Vision.

In addition to having education in an EDI-related field, experience working in a related sector of the Photographic Arts, and an established history of participating in volunteer and/or philanthropic activity, the President is intimately familiar with the interdependent relationship between the Board and its Executive Director.

The Chair is responsible for attending and/or chairing Quarterly, Annual, Ad Hoc, Developmental, and Committee Meetings, and acting as a liaison and mediator between the Foundation, the Executive Director, the Membership, and the community at large. In consultation with the Board, the Chair is responsible for establishing policies, reviewing matters of governance, and recommending committees. Working side-by-side with the Executive Director(s), the Chair provides leadership, guidance, and training to new and existing Board Members, oversees communication with media and representation of the Foundation to community, and ensures that the Board remains responsive to the community it serves.

The time commitment for this position averages 20 or more hours per month, with additional time required during campaigns and events, at the time of the Foundation's AGM, and during year-end reporting.

Vice Chair (occupied)

The Vice Chair is a Class A (voting) Member of Rare Earth Photographic Arts Outreach Foundation. The individual in this position supports the Chair by providing input, objective feedback, acting as or recommending a mediator, and occasionally stepping into the role of the Chair when required.

The Vice Chair is organised, reliable, and task-oriented, and possesses excellent communication and interpersonal skills. The ideal candidate holds experience and preferably a degree or certificate in a related field, has worked in the Photographic Arts sector, and can demonstrate previous experience as a volunteer and/or member of a not-for-profit board.

Working closely with the Chair, the Vice Chair's responsibilities include facilitating communication, cultivating relationships with new and existing affiliate organisations, identifying fundraising and sponsorship opportunities, monitoring progress on tasks assigned to Board and/or Committee Members, providing materials for distribution and communication, evaluating objectives and efficacy of Foundation activities, and presenting recommendations to the Board.

The time commitment for this position averages 10 or more hours per month, with additional time required during campaigns and events, at the time of the Foundation's AGM, and during year-end reporting.

Secretary (vacant)

ACCEPTING APPLICATIONS AND NOMINATIONS

The Secretary is a Class A (voting) Member of Rare Earth Photographic Arts Outreach Foundation. Reporting to the Board, the Secretary supports the Board by managing its documentation.

The individual holding this position is responsible, organised, detail oriented, committed to accurate records keeping, and passionate about Equity, Diversity, and Inclusivity.

Duties include managing the Board's calendar, assisting with preparation and distribution of meeting agendas, taking minutes at quarterly meetings and the AGM, maintaining files and records, preparing and distributing annual performance reports, securely managing mailing, member, and donor lists, and ensuring that all necessary licenses, permits, and incorporation documents are current.

Previous experience in the Photographic Arts Community and as a volunteer and/or member of a not-for-profit board is preferred but not mandatory. The Secretary may request and/or be offered opportunities to expand their knowledge of and experience with other Board positions.

The time commitment is estimated at 8 hours per month with additional time required during campaigns and events, at the time of the Foundation's AGM, and during year-end reporting.

Treasurer (vacant)

ACCEPTING APPLICATIONS AND NOMINATIONS

The Treasurer is a Class A (voting) Member of Rare Earth Photographic Arts Outreach Foundation. The individual in this position is trustworthy, values transparency, holds themselves to a high level of personal and professional integrity, and is passionate about Equity, Diversity, and Inclusivity.

The Treasurer holds or is in the process of obtaining a degree or certificate in a related field and has two to five years of practical experience. Individuals who do not hold a degree or certificate will be considered provided they can demonstrate extensive experience with bookkeeping and financial administration.

Previous experience in the Photographic Arts Community and as a volunteer and/or member of a not-for-profit board is preferred but not mandatory. The Treasurer may request and/or be offered opportunities to expand their knowledge of and experience with other Board positions.

Duties include inputting and maintaining entries in accounting software, processing expense claims, pulling interim reports and presenting budget analyses as required, preparing year end financial statements for AGM, making recommendations for auditing purposes, and coordination and filing of annual tax returns.

Nominee Director (occupied, accepting applications and nominations)

The Nominee Director is a Class A (voting) Member of Rare Earth Photographic Arts Outreach Foundation. The individual in this position supports the Board by providing input and feedback from a unique perspective.

The Nominee Director is responsive, supportive, and confident, and adds value to the Board with their strong desire to share knowledge and perspective. The ideal candidate has extensive experience in the area that the Board identifies as being deficient at its Annual General Meeting. As a developmental role, previous experience as a volunteer and/or member of a not-for-profit board is preferred but not mandatory.

Working closely with the President and Chair, the Nominee Director's primary responsibilities are to assist the Board with identifying and addressing deficits, advising on program development and revision, participating in community outreach and Foundation events, and cultivating relationships that further the objectives of the Foundation. This is a one-year position, with a possibility of extension to a second year if it is determined at the Annual General Meeting that a two-year term is necessary.

The time commitment for this position averages 12 or more hours per month, with additional time required during events and at the time of the Foundation's AGM and during year-end reporting.

Executive Director (vacant, not accepting applications)

The Executive Director holds a paid position and is therefore classified as a Class B (non-voting) ex-officio Member of the Board and is responsible for overseeing the day-to-day operations of the Foundation. The Executive Director embodies the values of the Foundation and is committed to carrying out their duties with integrity and professionalism.

The Executive Director plays a vital role on the Board despite holding a non-voting Membership. As they oversee the Foundation's day-to-day activities, they are responsible for ensuring that programming is carried out in accordance with the Foundation's annual objectives, and communicating the Foundation's needs to the Board.

Working closely with the Board, the Executive Director's primary responsibilities are to ensure program development continues, community outreach is expanded, and cultivation of relationships that further the objectives of the Foundation are met. This appointment is subject to annual Board review, and is eligible to extension if the Executive Director is successfully contributing to the execution of specified objectives.

This is a salaried position with a time commitment that averages 20 or more hours per month, with additional time required during campaigns and events, at the time of the Foundation's AGM, and during year-end reporting. Salary is commensurate with experience and is subject to the availability of funding. In the event that an adequate salary cannot be supported, this position becomes a volunteer position with an honorarium paid based on available funds.
